Why it matters

  • Taiwan Mobile's tender offer for Systex values each share at 0.84 Taiwan Mobile shares plus NT$92.5 cash, a near-30% premium at announcement.
  • The Fair Trade Commission resolved not to prohibit the merger; the November 5, 3:30 p.m. tender deadline will not be extended.
  • The offer needs 106,174,796 tendered shares, about 39% of Systex, with a cap of 157,900,979 shares, about 58%.
  • Taiwan Mobile shares rose more than 23% from NT$109.5 on August 12 to an intraday record NT$135 on Thursday.
  • First-three-quarters EPS was NT$4.26 for Taiwan Mobile versus NT$4.25 for Chunghwa Telecom; September telecom operating profit rose 16% year on year.

The story

Taiwan Mobile has secured Fair Trade Commission clearance for its tender offer for Systex Corporation, and General Manager Jamie Lin says the November 5 deadline will not move again. The regulator resolved not to prohibit the merger, removing what Lin called the biggest uncertainty hanging over the deal. He expressed "full and high confidence" that the offer will reach its minimum tender threshold.

The tender, announced on August 12 and run through wholly owned subsidiary TaiShin Telecom, offers Systex holders 0.84 Taiwan Mobile common shares plus NT$92.5 in cash, roughly US$2.85, per Systex common share. That terms valued Systex at a premium of nearly 30% at announcement. The offer requires 106,174,796 validly tendered shares, about 39% of Systex's issued shares, with a ceiling of 157,900,979 shares, or about 58%. Systex shareholders can tender until 3:30 p.m. on November 5, with all other conditions unchanged.

What does the clearance change?

The regulatory decision was the last major condition outside shareholders' control. Lin said the market recognized the uncertainty had lifted, and Systex's share price subsequently moved higher, which he described as a normal reaction during a public tender offer. Taiwan Mobile's share price has also climbed since the announcement, from a close of NT$109.5 on August 12 to an intraday record of NT$135 on Thursday, a gain of more than 23%. That rise matters commercially. Because roughly half the consideration is Taiwan Mobile stock, the value of the offer has increased in step, raising the incentive for Systex holders who have not yet tendered.

The structure still leaves the final outcome to shareholders. The 39% threshold and 58% cap mean the stake Taiwan Mobile ultimately acquires depends entirely on actual tender volumes before the deadline.

Why are all three Taiwan telecom stocks at record highs?

Chunghwa Telecom and Far EasTone have also repeatedly set new highs in recent days alongside Taiwan Mobile. Lin attributed the sector's re-rating to two forces. First, he said, the market is gradually recognizing that AI development requires massive computing power and computing power must rely on network transmission, making operators beneficiaries of the AI wave. Second, a correction in manufacturing stocks has pushed capital back toward telecom names, which offer both defense and offense and have posted gains of generally 20% to 30% over the past year.

Taiwan Mobile leads the three carriers on earnings. Lin said the company has repeatedly topped its rivals in monthly earnings per share this year, with the highest year-on-year growth among the three. Published financial reports show Taiwan Mobile's EPS for the first three quarters at NT$4.26, marginally above Chunghwa Telecom's NT$4.25. On when Taiwan Mobile's share price will overtake Chunghwa Telecom's, Lin said it is "only a matter of time," without giving a timetable.

Where is the operating leverage coming from?

AI tools are already showing up in the cost base. Taiwan Mobile uses an internal AI assistant, MyAgent, branded "Taiwan Mobile Lobster," to boost operating leverage. The company reported a 16% year-on-year increase in telecom operating profit and a 15% year-on-year increase in consolidated operating profit in September. Lin explained that headcount normally expands with business growth, but business is growing rapidly while headcount has remained nearly flat, meaning per-employee productivity has risen substantially. He added that tracking of employees' token usage shows all consumption going to productive uses, with no signs of abuse.

Is the iPhone Duo moving subscribers up-tier?

Apple's first foldable, the iPhone Duo, went on sale last week. Lin said sales exceeded expectations, but manufacturer supply is "extremely short," with orders running several times delivered volume, and Apple's own website showing shipment wait times of more than ten weeks. Taiwan Mobile's internal data through October 26 shows the proportion of subscribers choosing plans of NT$1,599 per month or above has risen by nearly 10 percentage points compared with the iPhone 18 Pro, evidence that the high-end foldable is driving upgrades to higher-tier plans.

The company is also widening its buy-now-pay-later service, "Da Ge Pays in Installments." On Thursday it announced five partnerships: Cola Tour, Pet Park, NewebPay, Petscare Waisheng Technology, and Taiwan Dental EasyConnect, extending the service from e-commerce into travel, beauty, and pet care. Cumulative users grew 49.9% year on year as of the end of September.

What happens next?

Market observers see the outcome now resting entirely with Systex shareholders, with the improved share-based consideration adding appeal for holdouts. If the deal closes, it strengthens Taiwan Mobile's position in information services and system integration alongside its telecom core. Investors will watch the November 5 tender result, then the pace of merger synergies and organizational integration.
